UAE contract glossary
The terms that decide whether a contract helps or hurts you — defined in plain English, with the UAE context that generic definitions skip.
Auto-renewal clause
A contract term that automatically renews the agreement for a further period unless one party gives notice of non-renewal within a defined window before expiry.
Notice period
The minimum advance notice one party must give the other before terminating or declining to renew a contract, counted in days before the relevant date.
Non-renewal notice
A formal written notice served on the counterparty stating that you do not intend to renew a contract beyond its current term.
Governing law
The clause specifying which jurisdiction's law applies to the contract — for UAE deals typically onshore UAE federal law, DIFC, ADGM, or a foreign law.
PDPL (UAE Personal Data Protection Law)
UAE Federal Decree-Law No. 45 of 2021, the federal law governing the processing of personal data in the UAE.
DIFC
The Dubai International Financial Centre — a financial free zone in Dubai with its own English-language common-law legal system and courts.
ADGM
The Abu Dhabi Global Market — a financial free zone in Abu Dhabi with an English common-law legal system directly applying English law.
Indemnity clause
A contract term where one party agrees to compensate the other for specified losses, sometimes without a cap on the amount.
